Terms of service.

1. These terms
These terms apply to services supplied by LUMA unless a signed proposal, quote or support agreement says otherwise. The written project documents and these terms form the agreement.
2. Scope and changes
The quote will state the pages, features, content, integrations, delivery stages and price. Work outside that scope requires a separate quote or written change. A request is not included merely because it was discussed before or during the project.
3. Client responsibilities
The client must provide accurate content, approvals, access and feedback when requested, and must have the rights to material supplied to LUMA. Delays in those items may move the delivery date.
4. Prices and payment
Prices, deposits, instalments, taxes and due dates are set out in the quote. LUMA may pause work or withhold launch, transfer or further support while an undisputed payment is overdue.
5. Review and acceptance
The client must review working previews and report issues within the review periods in the project plan. Launch, written approval or use of the completed work may be treated as acceptance, without removing any rights that cannot legally be excluded.
6. Intellectual property
After full payment, the client receives the rights stated in the quote to the final project-specific work. LUMA retains ownership of its pre-existing tools, reusable components, methods and know-how. Third-party software, fonts, images and services remain subject to their own licences.
7. Hosting and third parties
Domains, hosting, payment providers, APIs, email services and other third-party products are subject to their own terms, availability and charges. LUMA is not responsible for a third party's outage or change, but can quote to investigate or adapt the build.
8. Included maintenance
Each completed build includes 12 calendar months of general error maintenance from its first live launch, unless the quote states a different start date.
Included
- Reproducible errors caused by the work supplied by LUMA
- Broken layouts attributable to the delivered LUMA code
- Delivered functions that fail because of a defect in that work
Excluded
- Redesigns, new layouts, pages, features or integrations
- Content, product, image or data changes
- Changes made by the client or another supplier
- Third-party outages, platform changes, licences or new charges
- New requirements or work outside the agreed scope
- Incidents caused by compromised credentials or unapproved software
Included maintenance is corrective support, not unlimited development or revisions. Reports must include enough information to reproduce the error.
9. Extended support
Care, Managed and Development Partner packages are available by separate quote. The quote defines the monthly allowance, response targets, included services and exclusions. Unused time does not carry forward unless the support agreement says it does.
10. Suspension and termination
Either party may end ongoing services in line with the notice period in the applicable quote. LUMA may suspend services for overdue payment, unlawful use, security risk or a material breach. Fees already earned and committed third-party costs remain payable.
11. Liability
Nothing in these terms excludes liability that cannot legally be excluded. Subject to that, LUMA is not liable for indirect or consequential loss, lost profit caused by third-party services, or issues caused by material or instructions supplied by the client. Any stated limit of liability will be set out in the quote and applied only where lawful.
12. Consumer rights
If the client is a consumer, statutory rights remain unaffected. Services will be performed with reasonable care and skill as required by applicable UK law.
13. Law
The agreement is governed by the law of England and Wales. The courts that have jurisdiction under applicable law may hear any dispute.
